You got your responses from other people already but to sumarize the main reason that they are leaving is that the judge's retarded ruling meant that shareholder's votes are now worthless in Delaware. No matter what happens someone with a single share can come in and using that ruling as precedent undo a vote by the other 99.999999% of shares. It basically means shareholders can't own and operate companies as they wish and instead the state of Delaware is the one who has the final say on how it is run.

Needless to say no one wants this. All of Elon's companies already left. Microsoft is leaving and should be gone. TripAdvisor actually had the shareholders revolt that they need to leave Delaware NOW and the management was taking too long to GTFO.

Delaware had something like 1/3rd of all it's revenue come from taxes they got from corporations, so that is now pretty much gone. Except it is worse because those corporations also had HQs in Delaware that needed people there and offices, and those offices had lawyers nearby to come and help from time to time and of course office drones don't run on sunlight and air so there were all sorts of food and office supplies and so on that were there to support them. it's not being that advertised at the moment, but the companies are leaving. You will notice Reuters own reporting on the ruling fails to explain the "shareholders agreed beforehand" thing and tried really hard to make it sound like it was some shadowy conspiracy and not a open vote known to everyone.

I found this guy on Substack who did a good write-up, and he also showed some other issues going on in Delaware with judges making shit up and inventing random bullshit which has destroyed the safety of being incorporated in DE:

• Trade Desk - Delaware court required special committee approval for controller transactions that were fully disclosed at IPO and had operated without challenge for years
• Activision - Delaware court invalidated merger approval process on technical grounds despite 98% shareholder approval and no evidence of harm
• Moelis & Company - Delaware court invalidated long-standing stockholder agreements between the company and its founder that were disclosed in IPO; required legislative fix
• TripAdvisor - Delaware court ruled that merely reincorporating to Nevada required special committee approval and minority shareholder vote because reducing litigation exposure was deemed a "non-ratable benefit" to the controller

As you can see, most of these boil down to Delaware courts going "wait you can't run your company how you want to WE need to be involved" which is literally opposite of the reason these people are in Delaware in the first place.

I don't see how the states have standing to sue over privacy concerns of individual people. And some of these actions are clearly within the discretion of the executive because they concern foreign affairs, which the executive has power over. It's been 50 years since the last big impoundment fights in the courts (against Nixon, the guy the media hated almost as much as they hate Trump), but I don't see how this gets very far—on top of the judge acting wildly out of line by giving an ex parte TRO in a way designed to insulate the ruling from immediate appellate review.

I’m genuinely concerned about this, I think Trump attending the superbowl is the stupidest thing he could ever do.
That’s like asking to be John Wilkes Booth’ed. After the miraculous assassination survival, I don’t trust anyone in the secret service. Plus, it’s too early into his presidency to be killed, he needs at least 2 years to cement the changes before doing such risky stunts.
