Beneficial ownership reporting has always been a grey area. Technically you only have to report when you purchase enough to become a "Beneficial Owner" (5% or 10% depending on the situation IIRC). There's no filing required for non-beneficial owners so no filing is necessary if he sells enough to drop below the threshold. I.E. there isn't a "Not beneficial owner any more" form.

Beneficial owners are supposed to file for any transaction so presumably he would be required to report a sell while a beneficial owner that drops him below the threshhold.

I can't tell if Musk is angling for a cheaper deal, is really pissed off that the twitter lied about how many bots they have, or is just looking for a why to walk away without the billion dollar fee. (Buy saying Twitter lied to the SEC).

I'm hoping Musk is trying to troll the Twitter CEO into admitting that over 20% of twitter userbase is bots to get a sweet heart deal on the purchase.

It's nice that Twitter is forced to come out with the level of bots on the platform, but will they acknowledge that these bots aren't just junk accounts used to tweet out affiliate links or fluff up someones follower count, and that they are in many cases used to engineer public opinion by making people think "this is what everyone believes so it must be right" for various political and social goals?

Add to that the deranking, shadowbanning, and outright banning of ideas and memes that Twitter doesn't like and Twitter seems to exist primarily as a social engineering tool.

Project Veritas on Monday released undercover video of a senior Twitter engineer lashing out at Elon Musk and admitting the tech giant doesn’t believe in free speech.

Twitter Senior Engineer, Siru Murugesan, said the following to an undercover PV journalist:

• “Twitter does not believe in free speech… Elon believes in free speech.”
• “Our jobs are at stake, he’s a capitalist and we weren’t really operating as capitalists, more like very socialist. Like we’re all like commie as fuck.”
• “We did all we could to like revolt against it. A lot of employees were revolting against it.”
