How would violating a contract with a private (in the "non-government" sense) entity incur criminal penalties?

Presuming in the first place that this thing was so far along that there's no way Musk could have pumped the brakes on it as he's doing now, which I doubt.
Securities fraud incurs criminal sanctions but that is a stretch, I would think.

Because Elon has put them in a vise. From what I gather, the agreement stipulated that twitter had no more than five percent bots. Whehter that is a condition precedent to finalizing the sale, I cannot say. But by doing this, he has exposed twiiter on a number of different fronts (lots of bots, faggy, woke tech employees who get paid bank to do nothing). In THIS WAY, twitter share holders--read employees--are going to lose a lot of money, either if Musk forces a restructuring of the deal at a much lower cost, or if he can back out and the stock collapses. If that happens, could he then snatch up twitter after the stock price falls?

Here's the agreement being put forth by Musk and Twitter for shareholders to vote on. Don't see anything about user numbers or bots beyond Twitter restating the risks associated with their user count dropping.

Id have to look through it, and not sure I want to. It would come down to whether Twitter's five percent bot statement is a material represenation or not. There is a case in contract law classes about a house contract calling for Cohoes pipe. The contractor did not use Cohoes pipe but a different brand. That's not grounds for rescission of contract unless it goes to the heart of the contract, or it is specified as a condition precedent.
Probably used as a negotiating tool to get further concessions, but who knows. I do think if twitter was 25 or 30 percent bots that that would be pretty important in the stockout buyout offer.

It's about 150 pages. The word 'bot' does not appear once and the word "users" appears twice.

However, it would probably entitle you to the difference in value between what you contracted for (job done with Cohoes pipe) and what you got (job done with whatever grotty knockoff they used instead). In that Cardozo opinion, there was apparently no difference in value between the two products.

I can't help but imagine Mike Tyson saying James O'Keefe's name whenever I see "O'Keefe."
 
All I will say is, Elon better shut his mouth about NDA-protected content if he want this deal to go through. I get he's trolling but violating NDA agreements doesn't look good in the SEC's eyes, which partially makes me believe he's fucking with the SEC for the "$420 a share" debacle a while back.

You don't troll with M&A agreements, especially since Twitter/DOJ/SEC and back out at any time.
 
He really seems to be going on a warpath against wokeshit right now. I think if he doesn't get Twitter, he's going to do all he can to tank and destroy it. Which would be fine by me.

I love how everyone besides the Twitter guy is super chill and sympathetic towards O'Keefe, especially the two black guys making faces as O'Keefe explains and shows to them the "don't leak" e-mail that the Twitter guy unwittingly leaked.

Well, except the "private dinner" guy, but I get it. He was just annoyed by the ruckus.

Exactly. This would be like if you paid for brass or iron fittings on all your plumbing, only to find out they used tin fittings instead and now you've got flooding in your house, or if you bought a car used only to find out that the salesman drilled the catalytic converter to keep it on the road and now you've got a vehicle that will never pass inspection and is leaking fumes.

Goddamn right you'd refuse to buy that shit until it was fixed.
