At this point I want Twitter to win just to help damage the image Elon has built up with his fanboys. More I read on the subject the more retarded Elon ends up sounding, but the fanboys run defense arguing it’s all 4D chess and really Elon is gonna come out on top.

And if he is forced to buy Twitter it’ll make both sides miserable. Who wouldn’t cheer on that?

If people are fedposting or breaking other laws and Twitter ignores the reports of it, then yeah, Twitter is liable.

The most likely reason for the pullout is an attempt to get a lower price. We'll see what happens. I assume he's going to buy it at SOME price. Maybe the original, maybe a lower one.

I don't think that's right. Even if right, it's not enforced. There was a high profile case where the subject of the CP couldn't get them to take it down with the help of his local PD.
Anyway he's stated free speech within the bounds of law, so I think it's unlikely he wanted to back out because he noticed (after he made an offer that involved many lawyers to draft, mind you) he couldn't just disengage literally all blocks and moderation and let it rip without consequences. I highly doubt he wanted to do that in the first place.

I'd love for him to be a principled free speech guy, but I doubt it. He probably sees something in it for himself in making it more open or just thinks this rhetoric serves him.

I think the likely reason Musk wanted to back out is the stock market shit itself and he panicked since have more trouble financing the buyout. Also twitter's stock price crashed quite a bit in 2021, so if someone imagined it'd bounce back then buying might've seemed like a pretty great move. Twitter had a high of about $77 a share in 2021. Musk's Tesla stock though was hovering over a thousand a share back in January when he started investing, then May 13th he announces the deal is on hold while Tesla was at $769 a share whose value was affecting his ability to finance the buyout.

If the buyout stayed on then Musk would lose more billions having to sell more Tesla stock.

The free speech angle seems like a way of promoting himself and what profitability he would be bringing twitter so the stock price would go up. So he gets locked in at the $54.20 joke price (420), then when memes about how the great genius Musk would quintuple the profits of Twitter come out the stock would skyrocket so he could then come out making a fortune as he sells stock from his public/private twitter (he claimed he'd do both).

But then disaster befalls The Great Musk, investors didn't believe him. If they had then they'd have been buying up Twitter stock closer to the buyout price he'd suggested, as doing otherwise would essentially be leaving money on the table. The plan to inflate the value of the Twitter stock wasn't working and his own Tesla stock was crashing in value, so no meme magic helping him to make a fortune, just Musk having to eat crow as he takes his chances with the Chancery court.

All the free speech stuff was a red herring.

Yeah, him trying to do it in essentially a stock price manipulation (if I am interpreting your post correctly) is a very valid possibility and I think I am now on board with that lol. He probably figured that him offering to buy it for that was going to make it go through the roof and TSLA would keep going up

Then what else is fucking new? you can still post child porn or terror messages on twitter. they don't care. Heck they even said at one point the couldn't take down child porn due to "copyright" or some other nonsense. It's a highly relevant issue as to whether there was a material breach at the outset. You can't really waive a material breach because that means there's no consideration, since the other party only has to live up to their end if they feel like it, while you're on the hook for your end.

Not every breach is material, though.

The judge has effectively ruled that yes, Elon is in fact entitled to the information the contract said he was to receive and Twitter hasn't done that, or they wouldn't need to be ordered to do it.

This isn't an ultimate finding of course, because what's actually in those disclosures is what's important, but it could be highly relevant to whether Twitter is entitled to damages for Musk's delay in closing, because Twitter caused that delay by their own evasive bullshit.
