Is the Musk buy actually going through?

Last I checked, Elon Musk offered to buy the stock at $54.20 a share, but checking right now the price is at $46.09. If the guy was going through why would the shares not be going up on the value as people try cashing in on Musk's takeover? If the buy is going through then wouldn't it be like there's a pile of free money available that investors don't feel like touching?

Elon Musk is kind of a nasty spiteful guy and considering the fairly dire straits Twitter is already in, if instead of buying, he just dumped his 9.2% share for nothing, he could nuke them from orbit just for fun. Then there would be nothing left to buy.

I don't really get it either. Execs trying to save themselves? All they're doing is admitting everything the Right has been saying about them for years was true.
