That's the gist of the entirety of US tax law, and why "tax the rich!" never actually works. Rich people and megacorps can hire teams of lawyers and accountants to navigate every single loophole in the tax code (as well as lobbyists to persuade Congress to make those loopholes in the first place), making any and every deduction they can to lower their tax bill to little or nothing. Make a "charitable" donation here and there, and hey presto, the feds are satisfied!

The upper middle class and the small business, on the other hand, don't have this luxury, so anytime a bigger tax burden comes their way, they're generally forced to eat it. This hurts their growth and benefits the ultra-rich and megacorps all the more, which feeds back into more money in Congress's pockets. Thus, there's little to no incentive to actually fix the tax code and make it beneficial for all.

They also can't just sell all their stock, because then they'll lose their commanding stake in their own company, which is kind of important when you're running a megacorp like that.

The idea of taxing gains like that is a surefire way to get all those megarich looking to transfer their wealth and reincorporate their companies somewhere the IRS can't ever hope to touch them ever again. Being forced to fork over 20% of any increase in your stock portfolio from the previous year, effectively meaning you have to sell off stock to pay for its increase in value, is absolutely ludicrous, to say nothing of other ways this could fuck you over. Inherit property from your deceased parents? Congrats, you now have to sell it so you can pay the massive tax bill the government lay at your feet.

I know the rich have cash on hand too, but it's nowhere close to the majority of their wealth. Bob's smoothbrain literally thinks that all they'll have to do is write a check for this insane tax idea (and more than what they owe because they're so selfless, unlike the Bad Orange Man!) and everything will be hunky dory.

Lemme explain this simply:

Suppose you buy $100 of stock. It rises in price, and you're able to sell it for $200, making $100 of profit. That $100 is capital gains.

Now, suppose you buy $100 of stock again. Its value rises to $200, but you're unable to sell it, and it drops to $150. You sell it and pocket $50 in capital gains. The $50 you could have had if you sold while it was at $200 is unrealized capital gains.

So that's $50 in capital gains, and $50 in unrealized capital gains.

What this bill is intended to do is tax you not only on the $50 you made, but also on the $50 you didn't even see, let alone earn.

And it's not just stocks. Any asset that can rise and fall in value (such as property) would be taxed the same way. Like you said, the uberrich can hire accountants and lawyers to hide their assets from this tax, but it will absolutely destroy the middle class. There's no incentive to buy stocks, own a house, or buy property, because the minute the market fluctuates, the IRS will be waiting to rob you at gunpoint.
