Bob's an idiot who doesn't understand licensing and they don't actually own him but not being a Marvel character depends on how you define it. In the 70s and 80s Marvel had a thing of making licensed characters part of their universe like Conan, Godzilla, and Rom the Space Knight. They still owed/used the original concepts they made for them but there were holes cause they can never directly reference anything like the Hyborian age by name after losing them.1) Conan is not high fantasy. Conan is sword & sorcery. There is a difference, believe it or not.

Transformers almost of one of those series incorporated into Marvel's history but that franchise went in directions that wouldn't work there.
